THE SERVICE PILOT PARTNER PROGRAM AGREEMENT

Effective Date: 01/02/2026

This Partner Program Agreement (“Agreement”) governs participation in The Service Pilot™ Partner Program (the “Program”) and is entered into by and between The Service Pilot (“Company”) and the approved Partner (“Partner”). By applying to or participating in the Program, Partner agrees to the following terms and conditions.

1. Program Overview

The Service Pilot Partner Program is a tier-based referral program designed to reward Partners for referring new subscription customers to the Company. Commissions are paid solely on qualifying subscription revenue collected by the Company, subject to the conditions set forth herein.

2. Commission Eligibility & Activation Requirement

2.1 Ninety (90) Day Activation Requirement

No commission shall become earned or payable unless the referred customer
maintains an active, paid subscription in good standing for a minimum of ninety
(90) consecutive days.
If a referred account:
✓ Cancels
✓ Is refunded
✓ Is charged back
✓ Becomes delinquent
within the 90-day activation period, no commission shall be owed.

3. Tier Structure & Commission Rates

Commission eligibility is determined based on the number of active paying referred accounts maintained by the Partner.
An “Active Referral” is defined as a paying subscription account in good standing that has satisfied the 90-day activation requirement.

🥉Starter Partner Tier

Upon approval into the Program, Partner shall begin at the Starter Tier and earn:

✓ Thirty percent (30%) recurring commission on qualifying subscription revenue for the first twelve (12) consecutive months of each referred account.

After the initial twelve (12) months, no further commission shall be paid unless
Partner qualifies for an upgraded tier as defined below.

🥈Growth Partner Tier

Upon maintaining five (5) Active Referrals, Partner shall unlock Growth Tier status and become eligible to receive:

✓ Five percent (5%) lifetime recurring commission on all qualifying
referred accounts.
✓ The referred customer maintains an active subscription in good standing; and
✓ The Partner remains active and compliant under this Agreement.

🥇Pro Partner Tier

Upon maintaining fifteen (15) Active Referrals, Partner shall qualify for Pro Tier status and receive:

✓ Thirty-five percent (35%) recurring commission during the first twelve (12) months of each referred account;
✓ Ten percent (10%) lifetime recurring commission thereafter. Pro Tier Partners may additionally receive:
✓ Early access to select new features, at the Company’s discretion;
✓ Inclusion in the official Service Pilot Partner directory;
✓ Potential co-marketing opportunities, subject to approval.

All non-commission benefits are discretionary and may be modified or revoked at the Company’s sole discretion.

4. Commission Scope

Commissions apply only to:
✓ Net subscription revenue actually collected by the Company.

Commissions do not apply to:
✓ Taxes
✓ Payment processing fees
✓ Refunds
✓ Credits
✓ Promotional discounts
✓ One-time fees (unless expressly stated in writing)

If a referred account downgrades, commission shall adjust accordingly.
If a referred account cancels, commissions shall immediately cease.

5. Payment Terms

✓ Commissions are calculated monthly.
✓ Payments are issued monthly following the applicable billing cycle.
✓ No minimum payout threshold applies.
✓ Partner is responsible for providing required tax documentation and accurate payment information.

The Company reserves the right to offset future commissions in cases of fraud, abuse, or chargebacks.

6. Tier Maintenance

Tier qualification is based on active referral count.
If Partner’s number of Active Referrals falls below the required threshold:

✓ The Company reserves the right to adjust Partner’s tier status accordingly.
✓ Tier reassessment may occur periodically at the Company’s discretion.

7. Marketing & Conduct Standards

Partner agrees to:
✓ Accurately represent The Service Pilot and its offerings;
✓ Avoid misleading income claims;
✓ Refrain from spam or unauthorized advertising practices;
✓ Not bid on Company trademarked terms without written authorization;
✓ Not promote competing CRM or SaaS platforms targeting the same market.

Self-referrals, fraudulent accounts, or deceptive practices are strictly prohibited.
Violation may result in:
✓ Immediate termination;
✓ Forfeiture of unpaid commissions;
✓ Legal remedies where applicable.

8. Independent Contractor Status

Partner acts as an independent contractor and shall not represent themselves as an employee, agent, or representative authorized to bind the Company.

9. Modification of Program

The Company reserves the right to modify:

✓Commission percentages;
✓Tier requirements;
✓Program benefits;
✓These Terms and Conditions;

at any time, with notice to active Partners.
Continued participation constitutes acceptance of such modifications.

10. Termination

Either party may terminate participation at any time.

Upon termination:
✓ Future commissions shall cease;
✓ Earned commissions accrued prior to termination (if compliant) shall be paid according to standard schedule;
✓Lifetime commission rights are forfeited if termination is due to breach of this Agreement.

11. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages arising from participation in the Program. Total liability shall not exceed commissions paid to Partner in the preceding six (6) months.

12. Governing Law

This Agreement shall be governed by the laws of the State of Texas.
Disputes shall be resolved in the courts located within Texas unless otherwise agreed in writing.
